ARTICLES OF ASSOCIATION

AIPPI National Group Serbia

Article 1

For the purpose of cooperation with the International Association for the Protection of Industrial Property (AIPPI) in promoting international protection of intellectual property by comparative study of legislation and formulation of proposals for improvement of international conventions and Serbian legislation in the area of intellectual property, the members of AIPPI from the territory of the Republic of Serbia are jointly forming an association under the following: “AIPPI National Group Serbia”

The seat of the Association is in Belgrade, Vlajkovićeva No. 28.

The seat of the Association shall change with the election of a new President of the National Group, and the new address of the Association will be the address at which the newly elected President has its business seat or residence.

Article 2

All adult citizens of the Republic of Serbia interested in achieving the results of the Association may become members of the Association.

Decisions on accepting members of the Association shall be made by the body authorized hereunder to make such decisions, in a manner prescribed hereunder.

Membership in the Association shall cease by resignation from the Association, and by ceasing to pay membership fees according to the terms hereunder.

The members of the Association have the right and the obligation to participate in the work of the Association in accordance with these Articles of Association, and shall regularly pay the membership fees prescribed hereunder.

Payment of the membership fee is due each 15th November for each following calendar year, and new members shall pay the membership fee for the current year at the time of joining.

If a member does not pay the membership fee for the current year even within a term of thirty days from receiving written warning, its membership in the Association shall cease automatically.

Article 3

The bodies of the Association are the Assembly and the Executive Board of the Association.

The President, Vice President, General Secretary and Treasurer shall be elected by the Assembly of the Association, and, together with two more members, which shall also be elected by the Assembly of the Association, shall comprise the Executive Board of the Association, which shall manage the Association between the meetings of the Assembly of the Association.

All of the above members of the Executive Board shall be elected by the Assembly of the Association, comprised of all members of the Association, by secret ballot.

The quorum necessary for a valid election of members of the Executive Board shall be fulfilled when at least a third of the members of the Association are present at the Assembly.

In the first round of voting, all present members will state in writing whom they wish to elect for each of the functions indicated in Para 1 of this Article.

The elected member shall be the member which receives more than half of the votes of the present members. In case no-one fulfills this condition, the voting will be repeated, and in the repeated voting, the choice will be only between the two candidates that had received the largest number of votes.

All members of the Executive Board indicated in Para 1 of this Article shall be first elected at the Founding Assembly of the Association, with mandate lasting until the meeting of the Assembly of the Association that will be held within six months after the next AIPPI congress. Thereafter, the mandate of the executive Board and all its members will be 3 years.

Article 4

The President of the Association represents and acts on behalf of the Association and performs general surveillance of the work of the Association, presides over all meetings of the Executive Board and the Assembly of the Association, and performs those duties prescribed by the Articles of Association of AIPPI.

The Vice President of the Association shall replace the president in performance of its duties in case the President is prevented from performing its duties, and shall perform other tasks entrusted to it by the Executive Board.

The General Secretary of the Association shall maintain the correspondence of the Association, keep the minutes at the meetings of the Executive Board and Assembly of the Association, and perform other administrative tasks for the Association.

The Treasurer of the Association shall perform all correspondence relating to membership fees and keep records of the same, receive all monetary amounts as well as make all payments in the name of, and on behalf of, the Association, and keep records of the same.

The Executive Board shall decide on acceptance of new members of the Association and shall perform all other tasks of the Association between two meetings of the Assembly of the Association. The quorum necessary for making decisions of the Executive Board shall be fulfilled when two thirds of its members are present, and decisions shall be reached by simple majority of the present members.

The Assembly shall prepare the Articles of Assembly and decide on changes thereto, elect the members of the Executive Board in accordance with Article 3 hereunder, and decide on the amount of the membership fee. The quorum necessary for making decisions of the Assembly shall be fulfilled when a third of the members of the Association are present, and decisions shall be made by simple majority of votes of the present members. As regards the election of members of the Executive Board, the provisions of Article 3 of these Articles of Association shall apply.

The members of the Executive Board are individually and jointly responsible for their work to the Assembly of the Association, which may recall them before expiry of their mandate. Decisions on recall shall be made in the same way as those on election.

Article 5

The Association shall also be represented by the President and the Vice President of the Association in accordance with the Articles of Association.

In financial transactions, the Association shall also be represented by the Treasurer of the Association.

Article 6

The Association shall obtain its funds through collection of the due membership fees, voluntary donations and performance of activities of the Association in accordance with the Articles of Association.

The funds of the Association shall be at the disposal of the Treasurer of the Association, on the basis of the decision of the Executive Board.

Article 7

The Assembly of the Association shall make decisions on joining organization unions and other forms of association, as well as on membership in international organizations, in the same way that it makes decisions on change of the Articles of Association.

Article 8

The decision on termination of the Association shall be made by the Assembly of the Association by a two-thirds majority of votes of all members of the Association.

Article 9

In the event that the Association should cease to operate, the property of the Association shall be divided into equal parts between the members of the Association, which had that status at the time of cease of operation.

Article 10

The public designations of the Association are the name prescribed by Article 1 hereunder and the stamp of the Association, which contains the referenced name of the Association.
